Zhik Club Rewards Program - Terms and Conditions

1. Agreement to Terms

These Terms and Conditions ("Terms") govern the participation of eligible sports clubs ("Club", "You", "Your") in the Zhik Club Rewards Program ("Program") offered by Zhik Pty Ltd, ACN: 092 422 627 and/or Zhik USA LLC and/or Zhik EU BV ("Zhik", "We", "Us", "Our"). By submitting an Expression of Interest (EOI) or otherwise participating in the Program, your Club signifies its agreement to be bound by these Terms in their entirety. These Terms supplement Zhik's standard Website Terms of Use and Privacy Policy, which are incorporated by reference. If You do not agree to these Terms, do not participate in the Program.

2. Program Overview

The Program is designed to foster a collaborative relationship between Zhik and community sports clubs. The Program aims to provide support to Clubs through Zhik Credit earned via affiliated member purchases and through discounts on Club operational gear purchases, while offering benefits to the Club's members ("Members").

3. Eligibility and Application

3.1. Eligibility: Participation is open to incorporated or formally recognised sports clubs, actively involved in sailing, paddling, rowing, kite/foil, or other Zhik-approved water sports, subject to Zhik's verification and approval process.

3.2. Application: Clubs must apply by submitting an official Expression of Interest (EOI) via the designated online form on the Zhik website (zhik.com).

3.3. Account Requirement: As part of the application, the Club must designate a specific email address associated with the Club ("Designated Club Email"). This email address must be registered as an active customer account on zhik.com website prior to final approval. This account will be used to manage the partnership and allocate Zhik Credit. Failure to have a registered account associated with the Designated Club Email will delay or prevent approval.

3.4. Approval: Zhik retains sole discretion to approve or reject any application based on its internal criteria. Submission of an EOI does not guarantee acceptance into the Program. Approved Clubs will be notified via email.

4. Club Leader and Account Management

4.1. Designated Club Email: The email address provided and verified during the application process will serve as the primary identifier for the Club's participation and Zhik Credit allocation. The individual(s) managing this email and the associated Zhik.com account ("Club Leader") must have the authority to act on behalf of the Club.

4.2. Responsibilities: The Club Leader is appointed by the Club and is responsible for maintaining the accuracy of the associated Zhik.com account information, managing Program communications, promoting the Program to Members using the provided unique Club Link, and redeeming accrued Zhik Credit for official Club purchases in accordance with these Terms.

4.3. Account Security: The Club is responsible for maintaining the confidentiality and security of the Zhik.com account associated with the Designated Club Email. Zhik is not liable for unauthorised access or redemption of Zhik Credit due to the Club's failure to secure its account credentials.

5. Member Affiliation and Benefit

5.1. Affiliation: Members affiliate with their Club for Program purposes by clicking the unique tracking link ("Club Link") provided by their Club prior to initiating a purchase session on zhik.com. This Club Link attributes subsequent qualifying purchases within that session (subject to cookie policies and browser settings) to the Club.

5.2. Member Discount: Affiliated Members are eligible for a discount (currently five percent (5%) off RRP, subject to change by Zhik) on eligible personal purchases made directly on zhik.com when the purchase is correctly attributed via the Club Link. This discount is applied automatically at checkout for eligible items. Exclusions may apply (see Section 8). This discount may not be combinable with all other offers or promotions.

6. Zhik Credit Earning

6.1. Earning Rate: For each qualifying purchase of eligible Zhik products made by an affiliated Member correctly attributed via the Club Link, the affiliated Club will earn Zhik Credit equal to ten percent (10%) of the Net Purchase Value of that transaction ("Zhik Credit Contribution").

6.2. Net Purchase Value: Defined as the final price paid by the Member for eligible Zhik products after all sales and promotional discounts (including the 5% Member Discount) have been applied, excluding shipping charges, taxes (e.g., GST), any refunds within the first 30 days from purchase date, the value of gift cards purchased, and any portion paid using Zhik Credit or gift cards. 

6.3. Qualifying Purchases: Purchases must be made directly on zhik.com (or any regional Zhik-operated online store) and successfully attributed to the Club via the designated Club Link mechanism. Zhik’s tracking system is the definitive and binding record of qualifying purchases for Program purposes. With regard to the administration and verification of qualifying purchases, Zhik’s determination is final, and no correspondence or arbitration will be entered into.

7. Zhik Credit Calculation, Allocation, and Expiry

7.1. Calculation & Allocation Cadence:

a. Initial Phase: Until further notice, Zhik Credit Contributions will be calculated on an annual calendar quarterly basis on qualifying Member purchases completed within the preceding calendar quarter (e.g., Q1 credit calculated after March 31st).

b. Timing: Calculated credit will typically be allocated to the Zhik.com account associated with the Designated Club Email within 15-20 business days following the end of each calendar quarter, allowing for processing and return period considerations. Credit allocation may be delayed if returns are pending or system upgrades are underway.

c. Notification: The Club Leader(s) will be notified via the Designated Club Email when Zhik Credit has been allocated.

d. Future Automation: Zhik aims to implement more frequent or real-time calculation and allocation in the future and will notify Clubs of any enhancements or changes to this process.

7.2. Expiry: Zhik Credit allocated to the Club's account will expire three hundred and sixty-five (365) days from the date it is allocated. Expired Zhik Credit is forfeited and cannot be reinstated. It is the Club's responsibility to monitor, and use earned credit before expiry.

7.3. Balance Visibility: During the initial phase, the primary notification of credit balance will be via the quarterly allocation email. Zhik aims to provide real-time balance visibility within the Club Leader's Zhik.com account dashboard in the future.

8. Zhik Credit Redemption & Exclusions

8.1. Redemption: Accrued Zhik Credit can only be redeemed by the Club Leader when logged into the associated Zhik.com account. It can be applied at checkout towards the purchase of Zhik products intended solely for official Club operational use.

8.2. Application: Available Zhik Credit balance will be shown at checkout with an option to apply it towards the order subtotal. Credit is applied before all other payment methods.

8.3. No Cash Value: Zhik Credit has no cash value, is non-refundable, non-transferable, and cannot be redeemed for cash or used to purchase Zhik Gift Cards.

8.4. Product Exclusions: Zhik Credit earning, redemption, and Member/Club Discounts may not apply to certain items, including but not limited to: gift card purchases, shipping, taxes, duties, specific third-party products, potentially heavily discounted clearance items, or custom teamwear orders (unless specified otherwise). Zhik reserves the right to determine product eligibility.

9.  Club Discount 

9.1. Access: Upon Program approval, Zhik will provide the Club Leader with instructions on how to access a twenty-five percent (25%) discount off RRP ("Club Discount") for purchases made directly by the Club for official Club operational use. This may involve a specific discount code, account setting, or ordering process.

9.2. Definition of Official Use: Refers to purchases directly funded by the Club for items essential to Club operations and not intended for personal resale or individual ownership by members. Examples include uniforms for paid staff/instructors, safety boat crew apparel, equipment for Club-owned training assets, or official Club event prizes. Excludes personal member purchases or general teamwear orders placed by members. Zhik reserves the right to verify intended use.

9.3. Limitations: The Club Discount applies to eligible Zhik products only (exclusions similar to Section 8.4 apply). It cannot be combined with Zhik Credit redemption on the same order and may not be combinable with other sales or promotions unless explicitly stated by Zhik.

10. Returns and Adjustments

10.1. If a member returns a product for a refund, any Zhik Credit Contribution earned by the Club associated with that specific product purchase will be reversed or deducted from the Club's current or future Zhik Credit balance. This adjustment will occur in the calculation period following the processed return.

11. Program Modifications and Termination

11.1. Modification: Zhik reserves the right to modify, suspend, or terminate the Program, or amend these Terms, at any time in, and or at, its sole discretion. Zhik will provide reasonable notice of material changes, by giving 30 days’ notice via email to the Designated Club Email or by posting updates on the Zhik website. Continued participation after notice constitutes acceptance.

11.2. Termination by Zhik: Zhik may terminate a Club's participation for reasons including, but not limited to, violation of these Terms, inactivity, misuse of discounts or credit, actions detrimental to the Zhik brand, or cessation of the Club's operations, with notice where appropriate.

11.3. Termination by Club: The Club may withdraw from the Program by providing 30 days' written notice to Zhik via the designated support contact.

11.4. Effect of Termination: Upon termination by either party, the Club's unique link will be deactivated, eligibility for discounts will cease, and any remaining, unexpired Zhik Credit must be redeemed within 60 days of the termination effective date, after which it will be forfeited.

12. Data Privacy

12.1. Collection and use of personal data (Club Leader information, potentially aggregated member purchase data for credit calculation) will be governed by Zhik's Privacy Policy. Participation signifies consent to data processing necessary for Program administration.

13. Intellectual Property

13.1. Zhik grants the Club a limited, non-exclusive, revocable license to use Zhik logos and promotional assets provided in the official Program Toolkit solely for the purpose of promoting the Program to its Members in accordance with these Terms and any provided brand guidelines.

14. Disclaimers and Limitation of Liability

14.1. The Program is provided "as is." Zhik makes no warranties regarding the Program's operation or benefits.

14.2. To the maximum extent permitted by applicable law, Zhik excludes all liability for any indirect, incidental, special, or consequential losses or damages arising from participation in the Program. In all cases, Zhik’s total aggregate liability for any claim relating to the Program shall not exceed the total value of Zhik Credit earned by the Club in the twelve (12) months immediately preceding the event giving rise to the claim.

14.3. Nothing in these Terms excludes, restricts, or modifies any statutory rights, consumer protections, warranties, or remedies that cannot lawfully be excluded or limited under the laws applicable in your country or jurisdiction of residence.

15. General

15.1. Governing Law: These Terms are governed by the laws of the country where Zhik’s local entity or authorised distributor is established, unless otherwise required by mandatory local law. Any disputes arising under these Terms shall be subject to the non-exclusive jurisdiction of the courts of that country.

15.2. Relationship: Participation does not create any agency, partnership, or employment relationship between Zhik and the Club.

15.3. Entire Agreement: These Terms, together with the referenced policies, constitute the entire agreement regarding the Program.

Zhik Club Rewards Program - Privacy Policy Supplement

1. Introduction and Scope

This Privacy Policy Supplement explains how Zhik Pty Ltd, ACN: 092 422 627 ("Zhik", "We", "Us", "Our") collects, uses, discloses, and protects personal information in connection with the Zhik Club Rewards Program ("Program").

This document supplements Zhik's main Privacy Policy, which describes our overall data handling practices. Please read both documents carefully. By participating in the Program, either as a Club representative or as a member utilizing Program benefits, you acknowledge the practices described herein.

This Supplement focuses specifically on personal information processed because of the Program's operation.

2. Information We Collect for the Program

We collect information necessary to administer the Program effectively:

·       Information from Clubs (During Application/Onboarding):

o      Club Name, Location (Address, Postcode, City, State, Country), Website/Social Media URL, Primary Sport(s), Estimated Member Count.

o      Information about the individual submitting the EOI: Full Name, Role/Position in Club, Email Address.

o      Information about the designated primary contact for the Program: Designated Club Leader Full Name and Designated Club Email (which must be associated with a registered Zhik.com account).

·       Information Related to Affiliated Members:

o      When a user clicks a unique Club Link provided by a partner Club, our systems may associate that user's browsing session or purchase transaction with the specific Club ID embedded in the link.

o      If a purchase is completed, we collect standard transaction data (products purchased, order value, date/time, etc.) linked to the purchasing account (if logged in) and associate this transaction with the referring Club for the purpose of calculating Zhik Credit.

·       Information from Club Leaders (Ongoing):

o      Login credentials and activity within the associated Zhik.com account related to viewing Program resources or redeeming Zhik Credit.

o      Communication records related to Program support and administration.

3. How We Use Information Collected for the Program

We use the information collected specifically for the following Program-related purposes:

·       To Assess Club Eligibility: Evaluating EOI submissions against Program criteria.

·       To Administer the Program: Setting up the Club account, generating the unique Club Link, communicating with the Club Leader regarding Program updates, support, and credit allocations.

·       To Calculate and Allocate Zhik Credit: Using aggregated purchase data attributed to a Club's unique link to calculate the quarterly Zhik Credit Contribution and allocate it to the Designated Club Leader's associated Zhik.com account.

·       To Enable Member Benefits: Using the Club Link affiliation to potentially apply the 5% Member Discount at checkout for eligible purchases (subject to system capabilities).

·       To Facilitate Zhik Credit Redemption: Allowing Club Leaders to apply their accrued Zhik Credit balance towards official Club purchases at checkout.

·       To Provide Program Support: Responding to inquiries from Club Leaders or Members regarding the Program.

·       To Improve the Program: Analyzing aggregated and anonymized data about Program usage (e.g., number of affiliated members making purchases, credit redemption rates) to understand performance and make improvements.

·       To Communicate Program Updates: Informing Clubs about changes to the Program, Terms, or benefits.

·       To Prevent Fraud and Ensure Compliance: Monitoring Program activity for compliance with the Terms and Conditions.

4. Legal Basis for Processing

Our legal basis for processing personal information in connection with the Program typically includes:

·       Program Performance: Processing necessary to fulfil the terms of the Program as stated. 

·       Legitimate Interests: Processing necessary for our legitimate interests in operating and promoting the Program, supporting grassroots sports, understanding Program effectiveness, and preventing misuse, provided these interests are not overridden by your data protection rights.

·       Consent: Where required by law (e.g., for certain marketing communications separate from core Program administration).

5. Data Sharing and Disclosure

We share information collected for the Program only as necessary:

·       Within Zhik: With relevant internal teams (for example, Marketing, Sales, Finance, IT, Customer Support) involved in administering the Program.

·       Service Providers: With third-party vendors who assist us with Program operation, such as our e-commerce platform provider , email service provider, potentially future loyalty platform providers , analytics providers , and accounting systems . These providers are contractually obligated to protect the data and use it only for the services they provide to us.

·       To the Club Leader: We provide the Club Leader with information about the total Zhik Credit earned by their Club. We do NOT share individual Member names or specific purchase details with the Club Leader as part of the standard credit balance notification. The Club Leader manages the overall credit balance linked to their designated account.

·       Legal Requirements: We may disclose information if required by law, regulation, legal process, or governmental request.

6. Data Security

We implement reasonable technical and organisational measures to protect the personal information collected for the Program against unauthorised access, disclosure, alteration, or destruction. These measures are detailed further in our main Privacy Policy.

7. Data Retention

We retain personal information related to the Program for as long as necessary to fulfil the purposes outlined in this Supplement and our main Privacy Policy, including administering the partnership, managing Zhik Credit (including expiry periods), complying with legal obligations, resolving disputes, and enforcing agreements. Specific retention periods may vary.

8. Your Rights and Choices

Individuals (including Club Leader and Members) have rights regarding their personal information under applicable privacy laws or equivalent privacy laws in your region. These rights, including rights to access, correct, delete, or restrict processing of your data, and how to exercise them, are detailed in Zhik's main Privacy Policy. Club Leader can manage their account information by logging into Zhik.com.

9. International Data Transfers

As a global company, information collected may be transferred to, stored, and processed in countries outside of Australia where Zhik or its service providers operate. We take steps to ensure such transfers comply with applicable data protection laws, as outlined in our main Privacy Policy.

10. Children's Privacy

The Zhik Club Rewards Program is not directed towards children under the age of 16, and we do not knowingly collect personal information from them for Program purposes.

11. Changes to This Policy Supplement

We may update this Privacy Policy Supplement from time to time to reflect changes in the Program or legal requirements. We will notify Club Leaders of significant changes via email or by posting the updated policy on our website, indicating the effective date.
